Terms of Service

1. The parties
These Terms of Service ("Terms") form a binding agreement between Applied Synergy Plus Consulting LLC ("Applied Synergy", "we", "us"), the provider of the Lumen platform ("Service"), and the individual or entity that accesses or uses the Service ("you"). If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Acceptance
By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms and our Privacy Notice. If you do not agree, you must not use the Service.
3. The Service
Lumen is a financial operations platform for the office of the CFO, providing consolidation, close, reporting, anomaly detection, and related tooling. Features may evolve over time.
4. Accounts and acceptable use
You are responsible for safeguarding your credentials and for all activity under your account. You agree to provide accurate information and keep it current. You must not misuse the Service, including: (a) unlawful, fraudulent, or deceptive use; (b) infringing intellectual-property rights; (c) uploading malware or probing, scanning, or testing the vulnerability of the Service; (d) scraping or harvesting data; (e) interfering with other users or with the Service's operation.
5. Intellectual property
Applied Synergy and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, designs, and branding. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with your subscription plan. You retain ownership of the data you upload ("Customer Data") and grant us a limited licence to host and process it solely to provide the Service.
6. Payment, billing, and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns. Payment, billing frequency, taxes, currency conversion, invoices, cancellations, and refunds are governed by Paddle's Checkout / Buyer Terms and Paddle's Refund Policy, as supplemented by our Refund Policy. Subscriptions renew automatically at the end of each term unless cancelled in advance through your account or via paddle.net.
7. Service availability and warranties
We aim for high availability but do not warrant that the Service will be uninterrupted, error-free, or meet any particular requirement. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service in any 12-month period is capped at the fees you paid to Paddle for the Service in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.
9. Suspension and termination
We may suspend or terminate your access for: (a) material breach of these Terms; (b) non-payment; (c) security, fraud, or abuse risk; or (d) repeated or serious policy violations. You may terminate your subscription at any time via paddle.net or your account settings. On termination we will retain your data for 30 days to allow export, after which it will be permanently deleted, unless retention is required by law.
10. Indemnity
You will indemnify and hold Applied Synergy harmless from third-party claims arising out of Customer Data you upload, your unlawful use of the Service, or your breach of these Terms.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction, except where mandatory consumer protection laws of your country of residence provide otherwise.
12. Changes and contact
We may update these Terms from time to time. Material changes will be notified through the Service or by email.
